1. Introduction

Welcome to Private Funnel (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Private Funnel website, applications, and services (collectively, the “Services”). By using our Services, you agree to these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

“Account”

Your registered user account on the Private Funnel platform, including all associated credentials and settings.

“Content”

Any data, text, images, or other materials that you upload, submit, or transmit through the Services.

“Funnel”

A marketing workflow or sequence created within the Private Funnel platform to capture and nurture leads.

“User Data”

All information collected from end-users through your funnels, including but not limited to contact details and behavioral data.

3. Account Registration

To access certain features of the Services, you must register for an Account. You agree to:

1. Provide accurate, current, and complete information during registration;
2. Maintain and promptly update your Account information;
3. Keep your password secure and confidential;
4. Notify us immediately of any unauthorized use of your Account;
5. Take responsibility for all activities that occur under your Account.

3.1 Eligibility

You must be at least 18 years old to create an Account. By registering, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Security

We implement industry-standard security measures, including:

• End-to-end encryption for all data in transit;
• Two-factor authentication (2FA) support;
• Regular security audits and penetration testing;
• Automated threat detection and response.

4. Acceptable Use

You agree not to use the Services for any unlawful or prohibited purpose. Specifically, you may not:

• Violate any applicable laws or regulations;
• Infringe upon the intellectual property rights of others;
• Distribute malware, viruses, or other harmful code;
• Engage in unauthorized data scraping or harvesting;
• Use the Services to send unsolicited communications (spam);
• Attempt to gain unauthorized access to our systems.

5. Data Ownership

At Private Funnel, we believe your data belongs to you. This principle is central to everything we do:

5.1 Your Content

You retain all rights to the Content you create, upload, or store through the Services. We do not claim ownership of your Content.

5.2 User Data collected through your funnels

All leads and contact information collected through your Private Funnel funnels remain your exclusive property. We will never:

• Sell your User Data to third parties;
• Use your User Data for our own marketing purposes;
• Share your User Data with advertisers or data brokers.

5.2.1 Data Portability

You may export your data at any time in standard formats (CSV, JSON). We provide tools for full data export within your Account settings.

6. Subscription & Billing

Private Funnel offers various subscription plans. The following billing terms apply:

6.1 Payment Terms

1. All fees are quoted in USD unless otherwise specified;
2. Payments are processed securely via Stripe or PayPal;
3. Subscriptions auto-renew unless cancelled before the renewal date;
4. We reserve the right to change pricing with 30 days notice.

6.2 Taxes

You are responsible for all applicable taxes, except those based on our net income. Where required by law, we will collect and remit sales tax or VAT.

7. Termination

Either party may terminate this agreement under the following conditions:

• By You: You may cancel your subscription at any time through your Account settings. Your access continues until the end of the current billing period.
• By Us: We may suspend or terminate your Account if you violate these Terms or engage in fraudulent activity. We will provide notice where possible.

7.1 Effect of Termination

Upon termination:

1. Your right to use the Services immediately ceases;
2. We may delete your Account data after a 30-day grace period;
3. You remain liable for all charges incurred prior to termination;
4. Sections 5 (Data Ownership), 8 (Liability), and 9 (Governing Law) survive termination.

8. Limitation of Liability

To the maximum extent permitted by law:

• Private Funnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim;
• We do not guarantee uninterrupted or error-free service.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10. Changes to Terms

We may update these Terms from time to time. When we do:

1. We will post the revised Terms on this page;
2. We will update the “Last updated” date at the top of this document;
3. For material changes, we will notify you via email or through the Services;
4. Your continued use of the Services after changes constitutes acceptance.
